It is a reward for completing Mission 8-1-3 and can be found in a chest during Mission 8-4-2.

The HP Up Materia provides +10% HP per level (up to 50%).

This is an Independent (also known as Special) Materia, which includes materia that improves or modifies Zach’s stats or Digital Mind Wave abilities.

About Crisis Core Reunion
